Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On July 6, 2026, Shawn Morris resigned from his position as a member of the Board of Directors (the “Board”) of Privia Health Group, Inc. (the “Company”) and as a member of the Compliance Committee of the Board, effective immediately. Mr. Morris’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. The Company and the Board express their sincere gratitude to Mr. Morris for his dedicated service, valuable insights, and contributions to the Company during his tenure.
