(the “Company”) borrowed on a short- term basis $150,000 and $100,000, respectively (collectively, the “June Loans”) from The Donald P. Monaco Insurance Trust (the “Trust”). Donald P. Monaco, a director of the Company, is the trustee of the Trust. The June Loans were one of a series of short-term unsecured loans made by the Trust (the “Monaco Loans”) commencing March 25,2026 which, as of the date of this Current Report, have a principal balance of $950,000. Interest accrues on the Monaco Loans at a rate of 7.5% simple interest per annum. The maturity date of the Monaco Loans has been extended to July 15, 2026.The Monaco Loans have been approved by the both the Company’s Board of Directors and its Audit Committee.
