(the “Company”) that he will retire effective May 15, 2026. The Company appreciates his service and dedication, and to support a smooth transition, Mr. Clegg plans to continue providing services to the Company as a consultant following his departure. Mr. Clegg’s resignation is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or procedures. In connection with this transition, the Company entered into an Independent Contractor Agreement with Mr. Clegg (“Independent Contractor Agreement”), effective as of May 16, 2026, that includes, among other provisions, his acting as a consultant to the Company for a 6-month term for $19,450 per month. The foregoing description of the Independent Contractor Agreement does not purport to be a complete description of the rights and obligations of the parties thereunder and is qualified in its entirety by reference to the Independent Contractor Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
